COGECO CABLE INC. ANNOUNCES PRICING OF US$400 MILLION OF 4.875% SENIOR
NOTES DUE 2020
Montreal, April 18, 2013 Cogeco Cable Inc. (TSX: CCA) (the “Company” or “Cogeco Cable”)
announced today that it has priced its previously announced private offering of US$400 million
aggregate principal amount of 4.875% senior unsecured notes due 2020 (the “notes”) and has
entered into a purchase agreement with a syndicate of initial purchasers in connection with such
offering. The offering is expected to close on or about April 23, 2013, subject to customary
closing conditions.
The Company intends to use the net proceeds from the offering, together with borrowings under
one of its senior secured credit facilities, to repay the term loan tranches of the senior secured
credit facilities the Company entered into in connection with its acquisition of PEER 1 Network
Enterprises, Inc. in January 2013.
The notes and guarantees have not been, and will not be, registered under the U.S. Securities
Act of 1933, as amended (the “Securities Act”). The notes and guarantees have not been, and
will not be, qualified for sale to the public under applicable Canadian securities laws.
Accordingly, the notes and guarantees will be offered only to “qualified institutional buyers” (as
defined under Rule 144A under the Securities Act) in accordance with Rule 144A under the
Securities Act and to non-U.S. persons outside of the United States in compliance with
Regulation S under the Securities Act. The offering will be made on a private placement basis
to accredited investors in one or more provinces of Canada pursuant to exemptions from the
prospectus requirements of applicable Canadian securities laws.
